RESOLUTION 2025-001

A RESOLUTION SEATING THE INITIAL BOARD OF DIRECTORS

WHEREAS, a dedicated group of individuals has been invited by the Founding Executive Director to serve as the initial governing body of the Duncanville Arts Foundation, Inc. (the "Foundation"); and

WHEREAS, the formal seating of this initial Board of Directors is a necessary and foundational step to empower the Board to conduct the official business of the Foundation;

NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE DUNCANVILLE ARTS FOUNDATION, INC.:

  1. That the following individuals are hereby formally seated as the Initial Board of Directors of the Duncanville Arts Foundation, Inc., effective immediately: Rhonda Allen, Sarah Macias, Teresa Bryant, Patricia Ebert

  2. That the seated Board of Directors shall now proceed with its duties, including but not limited to, the adoption of bylaws, the election of officers, and all other actions necessary to commence the Foundation's operations and fulfill its mission.

ADOPTED by the Board of Directors on this 13th day of September, 2025, at which a quorum was present and voting throughout.
