RESOLUTION NO. 2025-003

Election of Officers

Whereas,

the Board of Directors of the Duncanville Arts Foundation, Inc. has been duly seated and adopted its Bylaws; and

Whereas,

the Bylaws provide that the Board shall elect officers (Chair, Vice Chair, Secretary, and Treasurer) to serve two-year terms; and

Whereas,

the Board has considered suitable candidates to serve in these roles for the initial term;

Now, therefore, be it resolved

that the following individuals are hereby elected to serve as officers of the Duncanville Arts Foundation, Inc. for two-year terms expiring at the conclusion of the formative twenty-four (24)-month phase, or until their successors are duly elected and qualified:

• Chair

• Vice Chair

• Secretary

• Treasurer

Be it further resolved

that each officer is authorized and directed to perform all duties specified in the Bylaws and to take all actions necessary to fulfill the responsibilities of their office; and

Resolved further

that actions taken on behalf of the Foundation by any officer in the conduct of their official duties prior to adoption of this resolution are hereby ratified, confirmed, and approved in all respects.
