RESOLUTION NO. 2025-004

Appointment of the Founding Executive Director

Whereas,

the Board of Directors of the Duncanville Arts Foundation, Inc. has been duly seated and adopted its Bylaws; and

Whereas,

Article 7, Section 2 of the Bylaws establishes the role of the Founding Executive Director, defined as the individual who originated and designed the Foundation’s mission and formation; and

Whereas,

the Bylaws provide that, during the initial two-year (24-month) formative phase, the Board may grant the Founding Executive Director enhanced temporary authority to ensure the proper establishment of the Foundation; and

Whereas,

the Board recognizes the necessity of strong executive leadership during this formative period to execute legal, financial, and administrative setup, develop policies and initial programs, represent the Foundation publicly, and recruit partners, staff, and advisors;

Now, therefore, be it resolved

that the Board of Directors hereby appoints Ron Thompson as the Founding Executive Director of the Duncanville Arts Foundation, Inc.; and

Resolved further

that for the duration of the initial two-year (twenty-four-month) formative phase, the Founding Executive Director is hereby authorized to:

• Execute and oversee all legal, financial, and administrative actions necessary to establish the Foundation’s operations.

• Develop and implement policies, programs, and strategic initiatives consistent with the Foundation’s mission.

• Represent the Foundation in all official, public, and inter-organizational capacities.

• Recruit partners, staff, volunteers, and advisors to support the Foundation’s growth.

Resolved further

that this enhanced authority is subject at all times to the oversight of the Board of Directors and may be adjusted by board vote; and

Resolved further

that at the conclusion of the formative phase, the Founding Executive Director shall transition to the standard role of Executive Director as defined in the Bylaws.
