1. Call to Order

• Meeting called to order by Chair pro tem.

• Roll call and confirmation of quorum.

• Statement for the Record

  At the commencement of the inaugural meeting of the Duncanville Arts Foundation, it was recognized that no officers had yet been elected. Accordingly, Ron Thompson assumed the role of Chair pro tempore to preside over the meeting and was also acknowledged as Secretary pro tempore for the purpose of recording and attesting to the minutes until such time as officers are duly elected.

2. Organizational Recognition

• Resolution 2025-001: Recognition of the initial Board of Directors and agreement to form the Duncanville Arts Foundation.

3. Adoption of Bylaws

• Presentation and discussion of proposed bylaws.

• Resolution 2025-002: Adoption of the Bylaws of the Duncanville Arts Foundation.

4. Election of Officers

• Election of Chair, Vice Chair, Secretary, and Treasurer.

• Resolution 2025-003: Election of Officers.

5. Appointment of Founding Executive Director

• Resolution 2025-004: Appointment of Founding Executive Director with formative 24-month authority, as outlined in Article 7, Section 2 of the Bylaws.

6. Establishment of Fiscal Year and Principal Office

• Resolution 2025-005: Establish fiscal year as October 1 – September 30.

• Resolution 2025-006: Establish principal office at 202 W. Center Street, Duncanville, Texas.

7. Adoption of Foundational Policies

• Financial Authorization Policy

• Gift Acceptance Policy

• In-Kind Contributions Policy

• Resolution 2025-007: Adoption of foundational policies.

8. Fiscal Sponsorship Policy

• Presentation of the White Paper on Fiscal Sponsorship (Exhibit A).

• Resolution 2025-008: Adoption of Fiscal Sponsorship Policy.

9. Program Incubation Framework

• Resolution 2025-009: Authorization for the Foundation to incubate mission-aligned programs and sponsored projects in accordance with Article II of the Bylaws.

• Resolution 2025-009a: Integration of Arts Junction at Old Rail Station as the Foundation’s development campus (Exhibit B).

10. Armstrong Park Cultural District Support

• Resolution 2025-010: Acknowledgment of the Armstrong Park Cultural District and affirmation of the Foundation’s supportive role during its formative years, consistent with City of Duncanville Resolution No. 2025-423 (Exhibit C).

11. Banking Authority

• Resolution 2025-011: Authorization to open accounts, designate signatories, and establish financial controls consistent with the Financial Authorization Policy.

12. IRS and State Filings

• Resolution 2025-012: Authorization for the Founding Executive Director to file the application for federal tax exemption under Section 501(c)(3) and all required Texas state filings.

13. Budget and Financial Planning

• Presentation of draft FY2026 Proposed Budget (Exhibit D).

• Resolution 2025-013: Adoption of the initial operating budget.

14. Board Development and Advisory Board

• Discussion of Board recruitment and expansion.

• Resolution 2025-014: Authorization to establish an Advisory Board as provided for in the Bylaws.

15. Other Business

• Opportunity for directors to raise additional matters.

16. Next Meeting

• Establish date and focus for the next quarterly meeting.
